Service Agreement
Draft, pending professional review
This Master Service Agreement (the "Agreement") is between:
Provider: Lucas L, a sole proprietor doing business as Tondelweb, 105 Wilson Ave, Blacksburg, VA 24060, Lucas.Lagido@gmail.com ("Tondelweb", "we", "us").
Client: the business named in the Order Form ("Client", "you").
It covers the Tondelweb Websites service (custom websites). Each Order Form says what you're buying and on what terms.
1. How the agreement fits together
1.1 Documents. This Agreement is made up of:
- these General Terms;
- the Service Schedule: Schedule D (Websites);
- the Data Handling Policy;
- each Order Form.
1.2 If documents conflict, they apply in this order: the Order Form, then the Service Schedule, then these General Terms, then the Data Handling Policy.
1.3 Accepting. This Agreement is published at tondelweb.com/agreement/. You accept it by signing an Order Form, by replying "I agree" to an email that attaches or links it, or by paying a Tondelweb payment link that refers to it (for example, by ticking the terms box at checkout).
2. Our services
2.1 We'll provide the services described in the applicable Service Schedule and Order Form, with reasonable skill and care.
2.2 Tools. We use software, including AI-assisted tools, to do the work. A person reviews the results before they're delivered to you, as each Schedule describes.
2.3 Helpers. We may use contractors. They work under written confidentiality terms and see only what they need. We remain responsible for their work.
2.4 Independence. We're an independent business, not your employee or agent.
3. What you do
3.1 Give us accurate information and the files, access or decisions each Schedule lists, on time.
3.2 Make sure you have the right to share anything you send us, and to authorize anything you ask us to do.
3.3 You make the final decisions, such as what to publish on your site. You're responsible for those decisions.
4. Fees, billing and taxes
4.1 Fees are set out in the Order Form and the Schedule.
- One-time fees (for example a site buyout or a Google Ads setup) are paid in advance.
- Monthly fees are billed in advance each month by card or bank debit through Stripe, and renew automatically until cancelled.
4.2 Taxes. Fees don't include taxes. Where the law requires it, we'll add sales or similar tax.
4.3 Late payment. If a fee is unpaid 14 days after it's due, we may pause or end the service after emailing you.
4.4 Price changes. We'll give at least 30 days' notice of any price change to a monthly plan. The change takes effect at your next renewal after the notice period.
5. Term, cancellation and ending
5.1 One-time services end when we've delivered them.
5.2 Monthly services run month to month.
- You can cancel anytime through the Stripe customer portal link we send you, or by emailing Lucas.Lagido@gmail.com.
- Cancellation takes effect at the end of the current paid period.
- Fees already paid aren't refunded, except for credits and refunds stated in a Schedule.
5.3 When we can end it. We may end a service with 14 days' written notice. We may end it immediately:
- for non-payment under 4.3;
- for misuse; or
- for a material breach not fixed within 7 days of notice.
5.4 Survival. These sections continue after the Agreement ends: 6 (Confidentiality), 7 (Data), 8 (Ownership), 9 (No guarantee), 10 (Liability), and any unpaid fees.
6. Confidentiality
6.1 Each party will keep the other's non-public information confidential, use it only for this Agreement, and protect it with reasonable care.
6.2 This doesn't apply to information that is public through no fault of the receiving party, already known to it, or independently developed. It also doesn't apply to information that must be disclosed by law, with notice to the other party where allowed.
7. Data
7.1 We handle your data as described in the Tondelweb Data Handling Policy, which is part of this Agreement.
7.2 We don't sell your data, and we use it only to provide the services you ordered.
8. Ownership
8.1 You own your data, files, websites and content.
8.2 We own our software, tools, test scripts, methods and templates.
8.3 You may use what we deliver to you for your own business, subject to any use limits in a Schedule.
9. No guarantee of results
9.1 Our services reduce work and risk. They don't guarantee any particular outcome, such as sales, traffic, leads or search rankings, except where a Schedule says so.
9.2 We don't give legal, tax, accounting or engineering advice.
10. Limitation of liability
10.1 Cap. To the extent the law allows, our total liability under this Agreement is limited to the fees you paid us for the affected service in the 3 months before the claim.
10.2 Excluded losses. Neither party is liable for indirect or consequential losses, such as lost profits, lost leads, lost contracts or lost business.
10.3 Credits. Where a Schedule provides credits or a refund for a specific failure, those are your sole remedy for that failure.
10.4 Nothing in this Agreement limits liability that can't be limited by law.
11. General
11.1 Governing law: Virginia. Venue: the courts for Montgomery County, Virginia.
11.2 Notices: by email to the addresses in the Order Form (ours: Lucas.Lagido@gmail.com).
11.3 Changes:
- Changes to an Order Form must be agreed in writing; email is fine.
- We may update these General Terms or a Schedule with 30 days' email notice. If you don't agree, you may cancel before the change takes effect.
11.4 Entire agreement: this Agreement is the whole agreement about the services. If any part is unenforceable, the rest still applies.
11.5 Assignment: neither party may transfer this Agreement without consent. The exception is a transfer by us to a successor business that takes over the service, for example an LLC we form, with notice to you.
Schedule D: Tondelweb Websites (custom websites)
D1. Service. We design and build a website for your business as described in the Order Form, then host and look after it on the monthly plan.
- Timeline: your website is up and running within 3 business days, with a first draft to review within 1 business day. Both are counted from when your first month is paid and you've sent your logo, photos and service details.
- Before you pay anything, we may show you a free demo of a possible design. A demo is only a sample. It isn't a delivered website, and it has no live data.
D2. No build fee. There's no separate charge to build the site. Your first month ($50) is paid by Stripe invoice before work starts.
D3. Monthly plan.
- $50/month. It covers the website, hosting, the security certificate (SSL), help managing your domain, and reasonable small edits on request (text, photos, hours, prices, contact details), with no set hour limit. New pages or redesigns are quoted separately.
- The first month is paid before work starts (D2). After that it's billed monthly, runs month to month and can be cancelled any month (section 5.2). No long-term contract.
D4. Google Ads (optional).
- Setup $300–500 one-time, plus management $300–500/month, the exact amounts in the Order Form.
- Ad spend is paid by you directly to Google and isn't part of our fees.
- We don't guarantee clicks, calls, leads or sales from ads (section 9).
D5. What you provide.
- You provide the text, photos, logos and business details for the site, and you confirm you have the right to use them.
- You review the site before launch.
- We're not responsible for delays caused by missing content.
D6. Changes before launch. The plan includes one round of changes after you see the first draft. More rounds before launch are quoted separately.
D7. Domain.
- Your domain name is registered in your own account and belongs to you.
- If we help set it up, you give us only the access needed, and you can remove it anytime.
D8. Ownership and handover. For the site's design and code, this section replaces section 8.1.
- Always yours: your own content (the text, photos, logos and business details you give us) and your domain (D7).
- The site we build (its design and code) stays ours until you've paid 6 monthly fees. While your plan is active, you may use it for your business.
- After 6 paid monthly fees, the site's design and code made for you become yours. Any of our reusable code or templates inside it are licensed to you to use for that site, without end. If you cancel after that, we send you a copy of the site files within 5 business days of the end of your last paid month.
- If you cancel before 6 paid monthly fees, you can keep the site by paying a one-time buyout of $300. We then send the site files within 5 business days.
- Without the buyout, we take the site offline at the end of your last paid month.
- You keep your own content and your domain.
- Either way, once we stop hosting it, moving it to another host is up to you. Monthly fees already paid aren't refunded (section 5.2).
D9. No ranking or traffic promises. We build to good practice, including fast pages, phone-friendly layouts and basic search setup. We don't guarantee search rankings, traffic, leads or sales (section 9).
D10. Late payment. If a monthly fee is unpaid 14 days after it's due, we may take the site offline after emailing you (section 4.3). We put it back once you've paid.
